Terms and Conditions

This website is operated by Rufino Coffee operating as “RUFINO COFFEE”. Throughout the website, the terms “we”, “us” and “our” refer to RUFINO COFFEE.

Below you will find the Terms and Conditions for our subscription ordering program (“Subscription Terms”, “Terms”). These Subscription Terms are between RUFINO COFFEE and the person (“you” or “your”) placing an order to enroll in a subscription (a “Subscription”) through the website and govern our respective rights and obligations. Please note that your use of the website is also governed by our Terms of Service and Privacy Policy, as well as all other applicable terms, conditions, limitations, and requirements on the website, all of which (as changed over time) are incorporated into these Subscription Terms. If you place an order to enroll in a subscription, you accept these terms, conditions, limitations, and requirements. In the event of a conflict between these Subscription Terms and any other document referenced and incorporated by reference herein, these Subscription Terms shall govern but only with respect to the Subscription and to the subject matter of such conflicting terms.

These Subscription Terms are entered into as of the date on which you place an order to enroll in a subscription or agree to be bound by the Subscription Terms, whichever is earlier. The Subscription will remain in effect until the Subscription expires, is terminated by RUFINO COFFEE at its sole discretion, or is otherwise cancelled in accordance with these Subscription Terms.

Please read these Subscription Terms carefully and keep a copy for your records and future reference. By placing an order to enroll in a subscription, you represent that you have read and understood these Subscription Terms and agree to be bound by them. If you do not agree to these Subscription Terms, do not proceed with your Subscription.

You agree to receive, in electronic form, a copy of these Subscription Terms and any other required disclosures including, but not limited to, all disclosures provided to you at the time of your Subscription, and any other notices or information we may be required to send to you from time to time under applicable law. You agree to keep a copy of any electronic communications for your records and future reference. Any notices or other communications will be deemed to be delivered when emailed to your designated email address, as provided or updated by you from time to time.

The headings used herein are included for convenience only and will not limit or otherwise affect these Subscription Terms.

Eligibility

Subscriptions are limited to products displaying a Subscription offer. Subscription is only available to customers shipping to addresses in Canada. To place an order to enroll in a subscription, you must have reached the legal age of majority in the jurisdiction in which you reside, be capable of entering into a legally binding agreement, and have a valid and verifiable e-mail address. By placing an order to enroll in a subscription, you represent and warrant that you are eligible to enter into these Subscription Terms.

Subscriptions are good while supplies last or until the subscription offer on a particular product is cancelled. Subscriptions are void where prohibited.

Enrollment, Accounts and Passwords

Should you choose to enroll in a Subscription, you agree to provide accurate and current information about yourself as required by the relevant subscription process, and to promptly update such information as necessary to ensure that it is kept accurate and complete. You agree to be responsible for: (a) the security of any information, including any passwords or other account identifiers which you choose or are assigned as a result of any account registration or subscription on this site, and (b) all activities that occur under such password or account. Further, you agree to notify RUFINO COFFEE of any unauthorized use of your password or account. RUFINO COFFEE shall not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with this Section.

If any problems arise with your RUFINO COFFEE account, the shipping address or payment method associated with your subscription order that we are unable to resolve, your Subscription will be placed on hold and no additional orders will be processed or shipped until the problem has been resolved and the Subscription has been reactivated.

Payment and Renewal

All fees and any related costs associated with your Subscription will be displayed for you at the time you place an order. You agree to pay all fees and related costs applicable for your Subscription together with all applicable taxes (the “Fees”). You may pay for your Subscription using only the methods of payment displayed at the time of subscription, which we may update from time to time. If payment for your Subscription is made by credit card, the charge for each delivery under your Subscription will be billed to the credit card you provide when you enroll in your Subscription or to any other credit card you provide to us from time to time (the “Card”).

By enrolling in a Subscription, you authorize RUFINO COFFEE to charge the applicable Card for the Fees and you represent and warrant that you are the authorized cardholder or account holder for the applicable Card. If your Card is rejected by the card issuer or if the payment is declined or cannot otherwise be processed for any reason, RUFINO COFFEE will have no obligation to deliver the product and reserves the right to suspend or terminate your Subscription.

You agree to provide your Card details when you enroll in a Subscription and to update that information if the Card expires or if any other Card information provided otherwise changes. You acknowledge that your Card will be charged for each delivery under the Subscription before the planned day of delivery. Automatic charges to your Card will continue until you suspend or cancel the Subscription in accordance with these Subscription Terms. You are responsible for providing and maintaining current, complete, and accurate billing and delivery information. You must update your account immediately with any changes to your billing or delivery information to avoid any interruptions to your Subscription.

RUFINO COFFEE will use reasonable efforts to send you an email reminder prior to each delivery, in order to enable you to cancel the delivery or make Subscription changes through your account before the products are shipped. Your subscription will remain in effect until it is cancelled. If you cancel your Subscription and then reactivate it, the Fees applied to the Subscription may not be the same Fees in effect at the time of cancellation. If the Fees for the Subscription changes, the new Fees will be applied to your future deliveries. Special limited time subscription promotions only apply during their effective dates.

Subscriptions will continue and auto-renew at the end of their duration. Fees in respect of each such renewal shall be based on the then current Fees for the particular subscription, which Fees can change in the way described under “Changes”, below.  If you don't want the subscription to continue, you can cancel it in accordance with these Subscription Terms.

Changes

Except for Changes made to these Subscription Terms that apply if you are a consumer residing in Ontario or Quebec, in which case the paragraph below applies, subject to applicable law, RUFINO COFFEE reserves the right to make changes to these Subscription Terms at any time in its sole discretion by posting an updated version of these Subscription Terms on the Website or sending you notice of such changes to the email associated with your account. Such changes will be effective on the date indicated on the updated version of the Subscription Terms posted on the website. By continuing with your Subscription after the effective date of the updated Subscription Terms, you will be deemed to agree to the updated Subscription Terms which will be enforceable against you.

For consumers residing in Ontario and Quebec only: Notwithstanding any other provision in these terms, RUFINO COFFEE reserves the right to change or modify these Subscription Terms with respect to any provisions that apply to your Subscriptions. This includes pricing. This also includes changing the products or subscription options offered, purchase requirements, discounts, methods or eligibility for subscription, delivery process, RUFINO COFFEE’s responsibilities or obligations under the Subscription Terms, your responsibilities under the Subscription Terms, disclaimers and limitation of liability) (collectively, "Changes"). If RUFINO COFFEE makes Changes to the Subscription Terms, in addition to posting the amended Subscription Terms on the Website, RUFINO COFFEE will also provide you by email thirty (30) days' advance notice of such Changes in accordance with applicable law ("Notice"). Upon receiving the Notice, you may refuse the Changes and cancel your Subscription by logging into your account through the website within the time specified in the Notice (and, if you are a consumer residing in Quebec, within thirty (30) days following the date of entry into force of the Change if the Change entails an increase in your obligation or a reduction of RUFINO COFFEE’s obligations). If you do not notify RUFINO COFFEE within that time, the Changes will take effect as indicated in the Notice. In that case, you will be deemed to agree to the Changes which will become part of these Subscription Terms and enforceable against you. If you cancel these Subscription Terms, your Subscription will be terminated.

Cancellation

You may cancel your Subscription at any time. You can manage your Subscription by logging in to your account on the website.

Termination by RUFINO COFFEE

Subject to any notice required by applicable law, we may, in our sole discretion, terminate your Subscription at any time without notice. If we do so, you will only be charged for orders that have been shipped to you.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Subscription Terms, we also may terminate your Subscription at any time without notice and you will remain liable for all amounts due up to and including the date of termination. Any such termination by RUFINO COFFEE shall be in addition to and without prejudice to such rights and remedies as may be available to RUFINO COFFEE, including injunction and other equitable remedies.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of your Subscription for all purposes. 

Personal Information

Your submission of personal information is governed by our Privacy Policy.

Disclaimer of Warranties; Limitation of Liability 

We do not guarantee, represent or warrant that your Subscription will be uninterrupted, timely, secure or error-free. 

We do not warrant that the results that may be obtained from your Subscription will be accurate or reliable. You agree that from time to time we may remove the Subscriptions for indefinite periods of time or cancel them at any time, without notice to you. 

You expressly agree that your use of, or inability to use, the Subscriptions is at your sole risk. The Subscription and all products and services delivered to you through your Subscription are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. 

In no case shall RUFINO COFFEE, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from or related to your Subscription. Our total liability, whether in contract, warranty, tort (including negligence) or otherwise, will not exceed the amount of all payments actually made by you during the course of your Subscription. Because some jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law. 

Assignment

You may not assign or transfer your Subscription to any third party without RUFINO COFFEE’s prior written authorization.

Entire Agreement

The failure of RUFINO COFFEE to exercise or enforce any right or provision of these Subscription Terms shall not constitute a waiver of such right or provision. 

These Subscription Terms together with applicable terms and conditions related to your Subscription and any promotional offers provided to you for use with your Subscription constitute the entire agreement and understanding between you and us regarding your Subscription and govern your Subscription, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Subscription Terms). 

Any ambiguities in the interpretation of these Subscription Terms shall not be construed against the drafting party. 

Governing Law

These Subscription Terms shall be governed by and construed in accordance with the laws of Ontario, Canada. You agree that any dispute can only be determined by the courts of the Province of Ontario.
